TERMS OF SERVICE

2. Purpose of the Service

Zynvio is a SaaS (Software as a Service) platform that allows businesses and freelancers to manage their business activity, including, among others:

• Invoicing (including VERI*FACTU-compatible systems)
• Accounting
• Customer and supplier management
• Inventory
• Payroll and human resources
• Time tracking
• Business analytics

The service is provided through online access via a user account.

3. Acceptance and Validity

Accessing, registering, or using the Platform implies full acceptance of these Terms, of the Privacy Policy, and of the sub-processors listed therein, including the OCR and artificial intelligence providers (Microsoft Azure and OpenAI) used for automated document processing.

These Terms shall remain in effect as long as the user uses the Platform.

PIXELARIS S.L. may modify them at any time, notifying users through the Platform or by electronic means.

4. Registration and User Account

To use Zynvio, the user must register by providing truthful and up-to-date information. The user is responsible for:

• Maintaining the confidentiality of their credentials
• All activities carried out from their account
• Reporting unauthorized access
• The business owner account may only be used by a company owner or a person with sufficient powers of representation. By accepting these Terms, that person acts on behalf of the company and accepts, in its name, the data processing agreement and the sub-processors described in the Privacy Policy.

PIXELARIS S.L. may suspend accounts in case of fraudulent use or non-compliance.

The user agrees to report any error or incident detected as soon as possible to: support@zynvio.com

PIXELARIS S.L. will make reasonable efforts to correct such errors, without this implying liability for resulting damages.

8. Acceptable Use

The user agrees not to:

• Use the Platform for illegal purposes
• Enter false or fraudulent data
• Attempt to access third-party systems or data
• Reverse engineer the platform
• Overload or compromise the infrastructure

Non-compliance may result in suspension or cancellation of the account.

9. Service Availability

Zynvio is offered on an "as is" and "as available" basis. PIXELARIS S.L. does not guarantee:

• Uninterrupted availability
• Absence of errors
• Operation without interruptions
• The artificial intelligence features are provided as a support tool, without guaranteeing the accuracy, completeness or suitability of their suggestions, responses or proposed actions.

Interruptions may occur due to maintenance, updates, or external causes.

Data processing is governed by:

• General Data Protection Regulation
• Organic Law 3/2018 on Data Protection

Zynvio acts as:

• Data controller (users)
• Data processor (user's client data)

The user guarantees that they have a legal basis for processing the data they enter.

12. Intellectual Property

All software, design, code, and content of Zynvio is the property of PIXELARIS S.L.

The user obtains only a non-exclusive, non-transferable, and limited right of use. The following is prohibited:

• Reproduction
• Distribution
• Reverse engineering

13. Plans and Billing (if applicable)

Use of the Platform may be subject to payment plans.

• PIXELARIS S.L. reserves the right to unilaterally modify the pricing and plan structure, including, by way of example and without limitation: (a) the features included in each plan, (b) prices and usage limits, and (c) the separation of features into distinct billable features or plans, such that a feature previously included may become billed independently. All of the foregoing applies unless a specific agreement between both parties limits such changes.
• Any modification that substantially affects the prices or features of a paid plan will be notified at least 30 days in advance by electronic means. Users may cancel their subscription without penalty before the modification takes effect.
• Services will be billed according to the contracted plan
• All billing and collection of plans are managed through Stripe, which acts as a payment service provider and intermediary. Users accept the Stripe terms applicable to payment processing.
• Fixed or custom plans (such as the Enterprise plan) are governed by separate agreements negotiated individually with each customer, with terms that may differ from those of the standard plans offered by default.
• Non-payment may result in service suspension
• Usage above the included quota is billed as additional usage at the per-unit price shown, with an optional monthly spending cap you can set. On annual plans, this additional usage is billed MONTHLY on an invoice separate from the plan.

Beta Features

• PIXELARIS S.L. may implement features marked as "beta", which are generally offered free of charge to users.
• The inclusion of a beta feature in the user's current plan does not imply that it will be maintained in said plan indefinitely.
• The use of beta features will not entail any additional cost for the user.
• Beta features may become part of a separate paid plan in the future.

14. Termination

PIXELARIS S.L. reserves the right to unilaterally suspend, deactivate, or cancel any user account in the following circumstances:

• Breach of these Terms of Service or the Legal Notice
• Fraudulent or abusive use of the Platform
• Security risks to the Platform or third parties
• Illegal activities, including but not limited to: corruption, bribery, money laundering, terrorism financing, or other activities contrary to applicable law
• Any other use that PIXELARIS S.L. considers contrary to good faith or the purpose of the Platform

Suspension or cancellation may be immediate and without prior notice when the severity of the breach so warrants. The user may cancel their account at any time.

15. Service Modifications

PIXELARIS S.L. may:

• Add, modify, or remove features
• Update the Platform
• Change technical specifications

Without prior notice when it does not substantially affect the service. However, when a modification substantially affects the features of a paid plan, the advance notice and right of cancellation set forth in section 13 will apply.

16. Applicable Law and Jurisdiction

These Terms are governed by Spanish law. The parties submit to:

• Courts of the user's domicile (if a consumer)
• Otherwise, the courts of the domicile of PIXELARIS S.L.
